On March 14, 2019, Baldwin Haspel Burke & Mayer hosted a continuing education program for the Association of Corporate Counsel – Louisiana Chapter.
Jill Willhoft presented on the topic of “Non-disclosures and Non-competes in Louisiana: An Overview,” discussing the differences between non-disclosure and non-compete agreements, covering the purpose of each, typical uses, examples in Louisiana law, along with common mistakes to avoid.
Matthew Miller and Andrew Sullivan presented on the topic of “Buying and Selling a Business: Start to Finish,” discussing the major aspects associated with successfully and strategically handling the sale/purchase of a business from initial stages through completion. The presentation focused on minimizing complications, liability, risk and obstacles by identifying important considerations from a buyer’s and seller’s perspective. They also covered the potential tax benefits of the Opportunity Zone program with respect to the proceeds generated from the sale of a business.
